Terms and Conditions

Effective Date: October 8, 2026

PLEASE READ CAREFULLY. These Terms form a binding agreement. By checking the acceptance box, purchasing, enrolling in, accessing, or using the Course, you acknowledge that you have read, understood, and agree to these Terms and the incorporated policies. If you do not agree, do not purchase, enroll, access, or use the Course.

1. Parties and definitions

These Terms and Conditions ('Terms') are between you and Judge Calico LLC, doing business as Judge Calico ('Course Owner,' 'we,' 'us,' or 'our'). Thinkific Labs Inc. and its affiliates provide technology through which the Course may be delivered, but they are not the seller of our Course unless expressly stated otherwise.

'Course' means the Judge Calico online legal-education program you purchase or enroll in, including animations, mnemonic lessons, interactive games, quizzes, questions, explanations, illustrations, audio, downloads, community features, updates, and related materials. 'Course Site' means jcalico.com, our Thinkific-hosted course website, and related pages. 'Content' means all materials made available through the Course or Course Site. 'Course Site Contact Form' means the contact mechanism identified on the Course Site through the Contact link on jcalico.com.

If you purchase for another person or an organization, you represent that you are authorized to make the purchase and that every authorized learner will comply with these Terms. No group or enterprise rights arise unless stated in a separate written license.

2. Eligibility and authority

You must be at least 18 years old and legally capable of entering a binding contract. The Course is not directed to children under 13. A person under 18 may use the Course only where lawful and under an account purchased and supervised by a parent or legal guardian who accepts these Terms and remains responsible for the account.

You may not use the Course if doing so violates applicable law, sanctions, a court order, or an obligation owed to another person or organization.

3. Assent and electronic contracting

Your affirmative selection of an acceptance checkbox that is initially unchecked, followed by the purchase, enrollment, or access action, constitutes your electronic signature and assent to the version presented. You consent to receive agreements, receipts, access-expiration notices, policy notices, and other records electronically through your account, the Course Site, or the email address associated with your account.

We may preserve the Terms version, timestamp, account identifier, transaction details, and acceptance language as evidence of assent. You may retain the Terms by printing or saving them. If you withdraw consent to electronic records through the Course Site Contact Form, we may be unable to provide an online-only service.

4. Account registration and security

You must provide accurate, current, and complete registration and payment information and keep it updated. Your account and credentials are personal to you. Except under an express written group license, you may not sell, transfer, sublicense, lend, share, or permit another person or entity to use your account or credentials.

You are responsible for safeguarding your credentials and for activity occurring through your account to the extent permitted by law. Notify us promptly through the Course Site Contact Form if you suspect unauthorized access. To protect the Course and enforce the single-user license, we may, to the extent permitted by law and technically available, review account activity such as sign-in counts, IP addresses, timestamps, concurrent or overlapping sessions, and device or unique-device identifiers made available through Thinkific or permitted analytics services. Use from multiple devices or locations alone is not conclusive proof of credential sharing; we may consider patterns together with other reasonably available evidence. We may limit or end simultaneous sessions, require reauthentication or reasonable identity or account verification, log out devices, temporarily restrict access, or use other proportionate measures to investigate or prevent credential sharing, automated access, systematic copying, or other misuse.

5. Educational purpose; no legal advice

The Course provides general legal education and study support. It is not legal advice, does not create an attorney-client relationship, and is not a substitute for advice from a licensed attorney. Do not rely on it to make decisions about an actual case, client, transaction, filing, deadline, legal duty, or legal right.

Law changes and varies by jurisdiction. Course explanations may summarize or simplify rules for educational purposes. You are responsible for checking current primary authority, court and agency rules, official examination requirements, and the law of the relevant jurisdiction.

The Course Owner is not your private tutor and does not provide individualized instruction, individualized legal research, or answers to your specific legal questions. The Course Site Contact Form is not a forum for asking how the law applies to your facts, resolving a disagreement between your interpretation and the Course, obtaining advice about an assignment or examination, or debating legal doctrine. We may correct a verified general Course error, but we are not required to provide an individualized explanation or adopt a learner's preferred interpretation.

Unless a particular offering expressly states otherwise, the Course is not a law school, bar-admission authority, accredited degree program, continuing-legal-education provider, or government service.

6. No guarantee of academic, examination, or professional results

We do not guarantee any academic grade, paper or assignment result, score, certification, admission decision, employment outcome, professional result, retention level, or passage of a bar or other examination. Results depend on factors outside our control, including your preparation, participation, prior knowledge, assessment conditions, and changes in law, its interpretations, or examination format.

Testimonials, demonstrations, and learner outcomes describe individual experiences and are not promises that you will achieve the same or similar results.

7. Access period; no implied lifetime access

Free previews. Selected preview lessons are available with a free account and no credit card required. Registering for or accessing these previews does not authorize a charge or automatically convert your access into paid enrollment. A paid purchase requires a separate checkout action.

Subject to payment, these Terms, and the product description presented at checkout, your purchase provides access for the defined period you select. Available options may include 365 days or shorter periods. The applicable access duration and when that period begins will be disclosed at checkout, with the expiration date available in your account or order confirmation. Section 15 explains expiration and further purchases.

We do not offer lifetime access unless the product description and checkout expressly use that phrase. If lifetime access is expressly offered, it means access for the commercial life of that Course while we continue to offer and are reasonably able to provide it on our platform; it does not mean your natural lifetime, perpetual hosting, or immunity from lawful suspension or termination under these Terms.

8. Limited personal license

During your authorized access period, we grant you a limited, revocable, nonexclusive, nontransferable, nonsublicensable license to access and use the Course solely for your personal, noncommercial education. You receive a license to use the Course; no ownership interest is transferred.

You may make personal study notes and may download or print only materials that the Course expressly makes downloadable or printable. Any permitted copy must remain for your personal study and retain all copyright, trademark, attribution, patent, and proprietary notices.

9. Intellectual property, trademarks, and patent rights

The Course and Content are owned by or licensed to Course Owner and are protected by copyright, trademark, trade-dress, patent, and other laws as applicable. Protected materials include the Judge Calico character and likeness, illustrations, animations, storyboards, mnemonic expressions and presentations, narration, interactive code, questions, explanations, audio, game assets and mechanics, compilations, selection and arrangement, course design, and protected metadata.

To the maximum extent permitted by law, Course Owner reserves the exclusive rights to reproduce, prepare derivative works from, distribute copies of, publicly display, and publicly perform protected Content, as well as all other rights of a copyright owner. Your limited license does not authorize any of those acts except the private viewing and expressly permitted personal study copies described in Section 8.

JUDGE CALICO(TM), JUDGE CALICO - STUDY DIFFERENT(TM), and STUDY DIFFERENT(TM), together with associated artwork, logos, slogans, and source-identifying elements, are claimed trademarks or other source identifiers of Judge Calico LLC or its licensors, whether registered or unregistered. No trademark license is granted.

Certain visual designs, graphical interfaces, ornamental features, or other aspects of the Course may be the subject of pending or issued design-patent or other patent rights. No patent license is granted except any narrow implied right that applicable law necessarily provides to use the Course as expressly authorized. We will not represent that a patent is pending or issued unless that status is accurate.

Third-party authorities, statutes, cases, platform components, names, and materials remain the property of their respective owners. Their appearance does not imply sponsorship, affiliation, or endorsement.

10. Prohibited uses

Except where nonwaivable law expressly permits otherwise, you may not, directly or indirectly: (a) reproduce, republish, distribute, transmit, publicly display, publicly perform, sell, rent, sublicense, translate, adapt, or prepare derivative or competing materials from the Course; (b) record, screen-record, photograph, or systematically capture the Course or a substantial portion; (c) upload Content to file-sharing, social-media, tutoring, course-hosting, answer-sharing, generative-AI, machine-learning, model-training, dataset, or evaluation services; (d) train, fine-tune, benchmark, evaluate, or supply any automated model or system with Content; (e) scrape, crawl, index, harvest, or use bots or automated means; (f) bypass access controls, watermarks, download restrictions, account limits, or security features; (g) reverse engineer or extract source code except to the limited extent a nonwaivable law permits; (h) remove or alter proprietary notices; (i) compromise an assessment by sharing questions or answers; or (j) use Content to create, enhance, or market a competing educational product or service.

Nothing in these Terms eliminates fair use, first-sale rights, accessibility rights, or another statutory right that cannot lawfully be waived. A legal exception is a defense applied to particular facts, not a general license to redistribute the Course.

11. Acceptable use and communications

These conduct rules apply to the Course, community areas, forms, submissions, messages, support requests, emails, and all other communications with or through the Course Site or platform. You must not harass, threaten, defame, impersonate, discriminate against, or invade the privacy of another person; repeatedly contact a person after a clear request to stop; send spam or unauthorized promotions; submit malicious code; attempt unauthorized access; disrupt networks or accounts; engage in fraud; infringe rights; or violate law.

You must not use communications in a manner that we reasonably determine, based on context, frequency, and impact, to constitute harassment, abusive conduct, an excessive or repetitive burden, bad-faith escalation, or material interference with operations. We may consolidate, limit, or decline duplicative communications while preserving any response required by law.

We may investigate suspected violations and take proportionate action, including warning, content removal, communication limits, suspension, termination, preservation of evidence, or referral to a platform or lawful authority. We are not required to monitor every communication or act on every report. Reports may be submitted through the Course Site Contact Form.

12. Learner submissions and community content

You retain ownership of original material you submit, subject to rights of others. You grant us a worldwide, nonexclusive, royalty-free license to host, reproduce, format, display, and distribute that submission only as reasonably necessary to operate, moderate, secure, improve, and demonstrate the feature in which it appears. This license ends when the submission is deleted from active systems, subject to backups, legal retention, and material already incorporated into a permitted collaborative context.

Do not submit confidential client information, examination content restricted by another organization, trade secrets, sensitive personal information, or material you lack authority to share. We may remove submissions that violate these Terms or create legal, safety, security, or operational risk.

13. Feedback

If you voluntarily provide a suggestion or idea specifically about improving or modifying the Course ('Feedback'), you agree that the Feedback is nonconfidential and that we may use, adapt, disclose, and commercialize it without payment or attribution. Feedback does not include your personal information, confidential information we expressly agreed in writing to protect, or an original learner work that is unrelated to a suggestion about the Course.

14. Prices, taxes, and payment authorization

All Course prices and charges are stated and processed in United States dollars (USD). We offer one-time purchases with defined access periods. The total price, any mandatory fees, applicable taxes, and access duration will be displayed before you complete the purchase. You authorize us and our payment providers to charge your selected payment method for the disclosed purchase amount. This authorization does not authorize automatic renewal or recurring charges. You are responsible for applicable taxes unless the law requires us to collect them.

If an authorized purchase charge fails, we may retry the charge as disclosed by the payment provider, notify you, and suspend access until payment is made. You remain responsible for amounts lawfully due. Chargebacks do not cancel these Terms or eliminate legitimate payment obligations; contact us through the Course Site Contact Form first so we can investigate.

15. Fixed-term access and expiration

Your purchase provides access for the period disclosed at checkout. Access ends when that period expires, unless we expressly provide an extension. Your purchase does not renew automatically, and no recurring charge is scheduled. You do not need to cancel to prevent a future renewal charge.

If you want access after expiration, you must make a separate purchase of an available offer at its then-current price and terms. We may change the prices and durations offered for future purchases without changing the access period already purchased. Any future recurring-payment offering would require separate checkout disclosures and affirmative authorization; an existing one-time purchase will not automatically become a subscription.

16. Refund policy

This Section is the complete Course refund policy unless checkout expressly provides a more favorable policy. Free previews are available before purchase, as described in Section 7.

ONCE YOUR PURCHASE PAYMENT IS PROCESSED, THE CHARGE IS FINAL AND NONREFUNDABLE, WHETHER OR NOT YOU ACCESSED, COMPLETED, BENEFITED FROM, OR WERE ABLE TO USE THE COURSE, EXCEPT AS REQUIRED BY NONWAIVABLE LAW OR EXPRESSLY PROMISED AT CHECKOUT. Choosing to stop using the Course before your access period expires does not by itself create a refund or credit right. We will correct duplicate, unauthorized, or erroneous charges and provide any refund or remedy required by nonwaivable law. If checkout expressly promises a more favorable refund or grace period for a particular offer, that promise controls.

Personal circumstances do not create a refund or credit right. This includes lack of time, scheduling conflicts, changed educational or professional goals, dissatisfaction with a legal explanation or interpretation, failure to achieve an objective, travel, relocation, loss of employment, financial hardship, device or Internet problems, illness, injury, disability, sensory impairment, or another inability to use the Course, except where a refund or other remedy is required by nonwaivable law or expressly promised in writing.

17. Course updates, availability, and support

We may correct errors, update legal content, change examples, replace technology, reorganize lessons, or retire features. We do not promise that every prior version, feature, device, browser, integration, or third-party link will remain available. We will not materially reduce a paid access commitment without providing a reasonable substitute, extension, credit, refund, or other remedy where required by the offer or law.

Support is administrative and technical, not instructional or advisory. We do not provide private tutoring, answer fact-specific legal questions, evaluate a learner's legal analysis, reconcile the Course with a learner's personal interpretation, review assignments or examination answers, or advise how law applies to a matter. We may choose to correct a verified general Course error without undertaking an individualized teaching or advisory obligation.

Support and other correspondence are not subject to a guaranteed service level. We will make reasonable efforts to respond, but a response may take 7 to 21 business days or longer depending on volume, complexity, staffing, platform availability, verification needs, holidays, emergencies, or the nature of the request. This estimate does not extend a legal deadline or require you to delay protective action.

18. Suspension and termination for cause

We may warn, restrict, suspend, or terminate access if we reasonably believe you materially breached these Terms, failed to pay, shared credentials, provided unauthorized access, used the account through simultaneous or overlapping sessions in a manner indicating access by multiple people, infringed rights, compromised security or assessments, distributed Content, engaged in fraud, or used Course communications in the abusive, harassing, immoderate, excessive, or repetitive manner described in Section 11.

We may temporarily suspend or restrict access while investigating suspected account sharing or other misuse and may request reasonable identity, device, session, or account verification. When practicable, we will give notice and a reasonable opportunity to explain or cure before permanent termination, but we may act immediately where delay could cause security, legal, intellectual-property, financial, safety, or operational harm. If, after reasonable review, we determine that you materially shared credentials, provided unauthorized access, distributed Content, or otherwise materially breached these Terms, suspension or termination does not create a refund, credit, extension, or cancellation of a charge already incurred, except where nonwaivable law or an express written promise requires otherwise. Termination does not excuse, reverse, or refund a charge already incurred or an amount that lawfully became due before termination, and it does not limit any other remedy available under these Terms or applicable law. If the review does not substantiate a material breach, we will restore access and, when appropriate, provide a reasonable extension for a material investigation-related interruption. You may stop using the Course at any time; expiration is governed by Section 15 and refunds by Section 16.

After termination, your license ends and you must cease using and delete unauthorized copies. Sections concerning ownership, prohibited uses, confidentiality and nondisclosure, payment obligations, feedback, disclaimers, liability, indemnification, disputes, and terms that by their nature should survive will survive.

19. Force majeure; prolonged disruption; insolvency

A 'Force Majeure Event' means an event beyond the Course Owner's reasonable control that causes or materially contributes to delay, interruption, or prevention of the Course Owner's performance despite reasonable efforts. Covered events include: (a) fire, flood, hurricane, earthquake, extreme weather or temperature, natural disaster, epidemic, pandemic, public-health emergency, or other act of nature; (b) war, invasion, terrorism, sabotage, riot, civil disorder, embargo, sanctions, border closure, or government emergency action; (c) strike, lockout, labor shortage, or third-party workforce disruption; (d) law, regulation, licensing or accreditation change, court order, injunction, censorship, internet restriction, export control, asset seizure, tax or customs action, or data-localization or cross-border-transfer restriction; (e) electrical outage, brownout, grid failure, utility interruption, backup-power failure, solar or geomagnetic event, or damage to critical infrastructure; (f) internet-backbone, ISP, DNS, BGP, fiber, undersea-cable, satellite, CDN, data-center, cloud-hosting, server, database, network-congestion, or cooling-system failure; (g) malware, ransomware, phishing compromise, credential attack, zero-day exploit, DDoS attack, supply-chain cyberattack, data breach, certificate or public-key-infrastructure compromise, or security shutdown; (h) failure or material policy change of Thinkific, a payment processor, bank, card network, authentication provider, email or notification provider, video host, webinar service, analytics service, help desk, file store, domain registrar, app store, API, courier, or other key supplier; and (i) browser or operating-system incompatibility, registrar error, or another operational event of similar kind and severity beyond reasonable control.

The Course Owner will use commercially reasonable efforts to mitigate the effect and, when practicable, provide notice. The Course Owner's affected obligations are suspended only to the extent and for the time performance is prevented or materially delayed. A Force Majeure Event does not excuse payment already due for services provided, unauthorized use of Content, or an obligation that remains reasonably performable.

A learner's personal or local circumstances are not a Force Majeure Event affecting the Course Owner and do not create a refund, credit, extension, payment excuse, or cancellation of an already-incurred charge. For example, an earthquake, storm, utility outage, Internet interruption, evacuation, travel restriction, illness, injury, or device failure affecting the learner but not preventing the Course Owner from making the Course generally available does not shift that risk to the Course Owner, except to the extent nonwaivable law requires a remedy.

If a Force Majeure Event prevents substantially all Course access for 30 consecutive days, we may extend access, provide a reasonable substitute, issue a credit, or terminate the affected offering. If we permanently discontinue paid access before the promised term ends, we will provide a proportionate refund or other remedy required by the offer or law, except to the extent the loss resulted from your breach. We may also suspend or discontinue performance if a bankruptcy, insolvency, receivership, dissolution, or similar proceeding materially prevents continued service, subject to applicable bankruptcy and consumer law.

20. Privacy and data security

Our personal-information practices are described in the separate Privacy Policy available through the Privacy Policy link on jcalico.com, which is incorporated by reference for notice purposes. Acceptance of these Terms is not consent to optional marketing or processing for which law requires separate consent.

We use reasonable administrative, technical, and physical safeguards appropriate to the information and our role, and we may rely on third-party platforms and providers. No network, storage, transmission, or security system is guaranteed to be completely secure. To the maximum extent permitted by law, we are not responsible for a security incident caused exclusively by events beyond our reasonable control where we complied with applicable duties. Nothing in these Terms disclaims a nonwaivable privacy, security, notification, or consumer-protection obligation or liability for our own legally actionable conduct.

You are responsible for using a secure device and network, safeguarding credentials, installing appropriate updates, and promptly reporting suspected account compromise. Submit privacy-rights requests through the method stated in the Privacy Policy or the Course Site Contact Form.

21. Marketing and service communications

We may send Course updates, related product or service information, and promotional communications as permitted by law and any required consent. Every marketing email will provide a clear, easy Internet-based method to opt out of all marketing email from us. We will honor a valid opt-out within the time required by law and will not charge for it or require information beyond what is reasonably necessary to identify the address.

Opting out of marketing does not stop transactional or relationship messages reasonably necessary to deliver a purchase, provide Course access, send security or account information, confirm purchases or account closure, give access-expiration notice, or communicate material changes to the service or these Terms. Marketing consent is not a condition of Course access unless the law and offer expressly permit otherwise.

22. Accessibility and accommodations

We aim to make the Course reasonably accessible. If you encounter a barrier or need a reasonable accommodation, use the Course Site Contact Form and describe the barrier and requested format or adjustment. We will engage in a good-faith process and provide reasonable solutions where required and practicable, considering the Course and applicable law. Do not submit sensitive medical information beyond what is reasonably necessary.

An illness, injury, broken limb, disability, loss or impairment of hearing, vision, or another sensory function, or other medical circumstance that limits or prevents your use of the Course does not automatically entitle you to a refund, credit, extension, or cancellation of a charge already incurred. We are not responsible for the underlying medical event. This paragraph does not limit any reasonable-accommodation duty, refund right, or other remedy that cannot lawfully be waived or that we expressly promise in writing.

23. Copyright and other rights complaints

If you believe material available through a learner submission or community feature infringes copyright or another right, report it through the Course Site Contact Form. Identify the work or right, the challenged material and its location, your contact information, the basis for your claim, and a statement that the report is accurate and made in good faith. We may request a signature or additional statements when required to evaluate the report.

We may remove or restrict material and terminate repeat infringers where appropriate. Course Owner has not designated the Course Site Contact Form as a registered DMCA agent and does not claim that this section alone creates a Digital Millennium Copyright Act safe harbor. If an agent is later designated, the published notice and process will be updated.

24. Third-party services

The Course may depend on Thinkific, payment processors, banks, card networks, email services, video hosts, analytics, accessibility tools, authentication providers, or links to third-party resources. Third parties operate under their own terms and privacy notices. We are not responsible for third-party content or conduct we do not control, but this does not limit any responsibility applicable law places on us for our selection, instructions, or use of service providers. A link or reference does not imply endorsement.

25. Disclaimer of warranties and function

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COURSE SITE, COURSE, CONTENT, SUPPORT, AND RELATED SERVICES ARE PROVIDED 'AS IS' AND 'AS AVAILABLE,' WITHOUT REPRESENTATION OR WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND WARRANTIES ARISING FROM STATUTE, COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE COURSE WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, COMPATIBLE WITH EVERY DEVICE OR BROWSER, AVAILABLE AT A PARTICULAR SPEED, OR THAT TRANSACTIONS, OPERATIONS, SUPPORT RESPONSES, ERROR RESPONSES, OR REMEDIES WILL OCCUR WITHIN A PARTICULAR TARGET TIME. WE DO NOT WARRANT THAT EVERY DEFECT WILL BE CORRECTED, THAT THIRD-PARTY SERVICES WILL REMAIN AVAILABLE, OR THAT CONTENT WILL BE CURRENT IN EVERY JURISDICTION.

This Section does not disclaim an express written promise, a warranty that cannot lawfully be disclaimed, or a remedy expressly provided in these Terms.

26. Exclusion of damages; aggregate liability cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COURSE OWNER AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, SUCCESSORS, AND ASSIGNS WILL NOT BE LIABLE FOR LOST PROFITS, REVENUE, DATA, GOODWILL, BUSINESS, OPPORTUNITY, OR USE, OR FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THE COURSE SITE, COURSE, CONTENT, SUPPORT, THESE TERMS, OR ACADEMIC, EXAMINATION, ADMISSION, OR PROFESSIONAL OUTCOMES, EVEN IF ADVISED OF THE POSSIBILITY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF COURSE OWNER AND THE PROTECTED PARTIES FOR ALL CLAIMS ARISING FROM OR RELATED TO A PARTICULAR PURCHASE OR ENROLLMENT WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID COURSE OWNER FOR THAT PURCHASE DURING THE 12 MONTHS BEFORE THE LAST EVENT GIVING RISE TO LIABILITY OR (B) USD $100. THE CAP IS CUMULATIVE, NOT PER CLAIM OR INCIDENT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, COURSE OWNER IS NOT RESPONSIBLE FOR AN OUTCOME ARISING FROM A LEARNER'S UNAUTHORIZED DISTRIBUTION, ALTERATION, SELECTIVE EXCERPTING, REMOVAL OF CONTEXT, OR A THIRD PARTY'S USE OF OR RELIANCE ON CONTENT OBTAINED THROUGH SUCH CONDUCT.

These exclusions and limits apply regardless of the theory or form of action, including contract, warranty, tort, negligence, strict liability, statute, or otherwise. They are an essential basis of the bargain and pricing. They do not apply to liability that cannot lawfully be limited, including as applicable liability for fraud, willful misconduct, gross negligence, certain personal injury, or nonwaivable consumer remedies. If a limitation is restricted by law, liability is limited to the maximum lawful extent.

27. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless Course Owner and its owners, officers, employees, agents, and contractors from third-party claims, damages, judgments, costs, and reasonable attorneys' fees arising from: (a) your unlawful conduct; (b) your infringement or misappropriation of another person's intellectual-property, privacy, publicity, confidentiality, trade-secret, or other rights; (c) your unauthorized access, distribution, disclosure, commercial exploitation, or misuse of Course Content or Confidential Course Information, including a third party's alleged injury, loss, decision, or other outcome resulting from your distribution, disclosure, alteration, selective excerpting, removal of context, or representation of that material; (d) material you submit; or (e) your material breach of Sections 4, 9, 10, 11, 12, or 31.

This indemnity concerns third-party claims; it does not define whether a learner has a direct claim against the Course Owner. It does not apply to the extent a third-party claim is finally determined to result from the Course Owner's negligence, willful misconduct, breach, or violation of law. For clarity, a learner's disagreement with a Course interpretation, reliance on the Course for a personal matter or objective, use of the Course outside its stated educational purpose, or failure to obtain a desired result does not, by itself, establish negligence or breach by the Course Owner. Sections 5, 6, 25, and 26 govern those issues.

We will provide reasonable notice and may control the defense with counsel of our choice. You may not settle a claim in a manner that admits our fault, imposes an obligation on us, or fails to release us without our written consent.

28. Informal dispute notice; optional mediation

Before filing a lawsuit, the claimant must submit an individualized written dispute notice through the Course Site Contact Form that identifies the claimant, account email, transaction, material facts, legal basis, requested relief, and information reasonably necessary to evaluate the claim. The parties will attempt in good faith to resolve the dispute for 30 days after confirmed receipt.

Mediation is not mandatory. After a dispute arises, the parties may agree in a separate writing to nonbinding mediation, including the mediator, format, location, and allocation of fees. Neither party is required to mediate merely because the other requests it.

The notice period does not prevent an eligible small-claims filing; a request for urgent temporary, equitable, or injunctive relief; action to prevent or address unauthorized access, security harm, intellectual-property infringement, or misuse; preservation of a limitations period; or a complaint to a government agency. To the extent permitted by law, the claimant must limit the proceeding to the individualized dispute described in the notice.

29. INDIVIDUAL PROCEEDINGS; CLASS AND REPRESENTATIVE ACTION WAIVER

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND COURSE OWNER AGREE THAT EACH PARTY MAY ASSERT CLAIMS AGAINST THE OTHER ONLY IN THAT PARTY'S INDIVIDUAL CAPACITY. NEITHER PARTY WILL COMMENCE, SEEK TO MAINTAIN, PARTICIPATE IN, OR OBTAIN RELIEF THROUGH ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, COORDINATED, MASS, PRIVATE-ATTORNEY-GENERAL, OR OTHER REPRESENTATIVE ACTION OR PROCEEDING.

Unless both parties agree in a separate writing after a dispute arises, neither party will seek to consolidate or combine an individual claim with another person's claim or ask a court to adjudicate claims or award relief on behalf of anyone other than the individual parties before it. This Section concerns court proceedings and does not require arbitration.

This Section does not prevent an eligible individual small-claims action, a complaint or communication with a governmental or regulatory agency, or the exercise of a public-injunctive, representative, or other right that applicable law does not permit a party to waive. If a court determines that any portion of this Section is unenforceable as to a particular claim, remedy, or proceeding, that determination will apply only to the affected claim, remedy, or portion; the remainder will remain effective to the maximum extent permitted by law.

30. MUTUAL WAIVER OF JURY TRIAL

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND COURSE OWNER EACH KNOWINGLY, VOLUNTARILY, AND IRREVOCABLY WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION, CLAIM, COUNTERCLAIM, OR PROCEEDING ARISING OUT OF OR RELATING TO THE COURSE, COURSE CONTENT, YOUR ACCOUNT, ANY PURCHASE, THESE TERMS, OR THE RELATIONSHIP BETWEEN YOU AND COURSE OWNER.

This is a mutual waiver and applies equally to you and Course Owner. It does not apply to an eligible small-claims proceeding that does not provide a jury or waive any jury-trial right that applicable law does not permit a party to waive. Each party acknowledges that the other is entering these Terms in reliance on this mutual waiver.

31. CONFIDENTIALITY; NONDISCLOSURE; METADATA; TRADE SECRETS

In addition to the ownership, license, and prohibited-use provisions in Sections 8 through 10, you must protect all nonpublic materials and information that Course Owner identifies as confidential or that a reasonable person would understand to be confidential from their nature and the circumstances of disclosure ("Confidential Course Information"). Confidential Course Information may include unreleased or beta lessons; nonpublic answer keys, questions, explanations, instructor notes, rubrics, teaching methods, annotations, archives, or development materials; security, authentication, access-control, anti-copying, or anti-piracy information; and information that qualifies as a trade secret under applicable law.

Confidential Course Information may also include nonpublic Course-related metadata and technical information, including nonpublic manifests, schemas, source maps, file or asset maps, asset identifiers, build or deployment information, internal versioning or provenance records, hidden fields, internal labels, rights-management information, and nonpublic metadata embedded in or associated with HTML, code, media, downloads, packages, or instructor archives. Metadata is covered only to the extent that it is not publicly and lawfully available and is identified as confidential or reasonably understood to be confidential; publicly visible copyright, trademark, authorship, descriptive, accessibility, and rights notices are not made confidential merely by this Section.

You may use Confidential Course Information only for your personal participation in the Course. Without Course Owner's prior written authorization, you will not disclose, publish, sell, sublicense, transmit, distribute, reproduce, record, screen-record, scrape, extract, remove, alter, upload, or otherwise make Confidential Course Information available to another person or service. This prohibition includes disclosure to public or shared artificial-intelligence or machine-learning systems, model-training or evaluation services, file-sharing platforms, course or answer repositories, tutoring databases, social-media groups, competitors, or any service through which an unauthorized person may access, analyze, reproduce, or redistribute it.

You must use reasonable safeguards to protect Confidential Course Information, must not remove or alter confidentiality, ownership, provenance, watermark, or rights-management information, and must promptly notify Course Owner through the Course Site Contact Form if you discover unauthorized access, disclosure, copying, or loss of control. Upon expiration or termination of access or Course Owner's reasonable request, you must cease using and delete unauthorized copies in your possession or control, except for a copy that applicable law requires you to retain.

Confidential Course Information does not include information that you can demonstrate: (a) became publicly available through no breach of these Terms; (b) was lawfully known to you without a confidentiality obligation before disclosure by Course Owner; (c) was lawfully received from another source without a confidentiality obligation; or (d) was independently developed without use of Confidential Course Information. General legal principles, statutes, judicial opinions, public authorities, and knowledge retained through ordinary study are not Course Owner trade secrets merely because they are discussed in the Course, although Course Owner's protectable expression, compilation, selection, arrangement, artwork, code, questions, explanations, and nonpublic materials remain protected as applicable.

Nothing in this Section prohibits an honest review of the Course; a description of your own experience or opinions that does not reproduce protected Content or another person's confidential information; confidential consultation with an attorney, accountant, tax adviser, or other professional adviser; a truthful response to lawful legal process; communication with a governmental, regulatory, or law-enforcement agency; reporting suspected unlawful conduct; or exercise of a right that applicable law does not permit you to waive. When legally permitted, you will provide reasonable advance notice of compelled disclosure and reasonable assistance in seeking confidential treatment, but no notice is required where law prohibits it.

These confidentiality obligations continue for as long as the information remains nonpublic and protected under this Section. Obligations concerning a trade secret continue for as long as the information legally remains a trade secret. Copyright, license, no-distribution, and rights-management restrictions survive for the periods provided by applicable law and are not shortened by this Section. A material breach may result in investigation, suspension, or termination without refund under Section 18, subject to nonwaivable law, and Course Owner may seek damages and temporary, preliminary, or permanent injunctive relief where legally available.

32. Governing law and forum

These Terms are governed by the laws of the State of Rhode Island, without regard to conflict-of-law principles, except that the law of your residence applies to the extent it provides a nonwaivable consumer protection. Subject to Sections 28 through 30 and any lawful small-claims option, exclusive jurisdiction and venue will lie in the state and federal courts located in Rhode Island in the judicial district encompassing the Course Owner's principal place of business when the proceeding is filed, and each party consents to personal jurisdiction and venue there.

Nothing in these Terms prevents a consumer from filing a complaint with a government agency or exercising a right that cannot lawfully be waived.

33. Changes to these Terms and future access

We may update these Terms prospectively for legal, security, operational, platform, or Course changes. We will post the revised version with a new effective date and provide notice of material changes as required by law. A material change will not retroactively alter a dispute that arose earlier or materially reduce an already-purchased right without affirmative agreement where required.

Future purchases or materially changed services may require acceptance of the then-current Terms. If affirmative re-consent is required and you decline, you may stop using the affected future service, subject to any existing paid-access, cancellation, refund, or other rights required by the offer or law.

34. General provisions

Severability. If a provision is invalid or unenforceable, it will be interpreted or limited to achieve its lawful purpose to the maximum extent permitted, and the remaining provisions will continue in effect unless doing so would materially alter the bargain.

No waiver. No right is waived by delay, silence, failure to enforce, or a statement other than an explicit written waiver by an authorized representative. A waiver applies only to the specific instance and does not waive another or later breach.

Assignment. You may not assign these Terms or transfer your account without our written consent. We may assign these Terms in connection with a merger, financing, reorganization, sale of assets, or transfer of the Course if the assignee assumes applicable obligations and nonwaivable rights are preserved.

Entire agreement and priority. These Terms, checkout disclosures, applicable product-specific terms, the refund provisions in Section 16, and the separate Privacy Policy constitute the agreement concerning the Course. Specific checkout terms control price, access, billing interval, and any more favorable refund promise for that purchase. Product-specific terms control over inconsistent general terms. The Privacy Policy controls personal-information practices.

Headings and interpretation. Headings are for convenience. 'Including' means including without limitation. These Terms will not be construed against a party merely because that party drafted them.

35. Contact and notices

All general support, account, access, billing, cancellation, accessibility, privacy, copyright, dispute, and legal-notice communications to Course Owner must be submitted through the Course Site Contact Form through the Contact link on jcalico.com, unless a law requires another method. Select the appropriate subject and retain the confirmation. The Course Site Contact Form is the only general contact channel currently offered.

The Contact Form is not a private-tutoring, legal-advice, or individualized-question service. Do not use it to ask how law applies to your facts, request interpretation of a personal case or assignment, submit examination questions for answers, debate the Course's treatment of law, or demand that the Course Owner reconcile the Course with your preferred interpretation. We may decline or close those requests without a substantive response. A report identifying a specific, verifiable general error in Course Content may be reviewed at our discretion but does not create a duty to provide individualized instruction.

We may send notices to the email address associated with your account, post them in your account or on the Course Site, or use another method permitted by law. You are responsible for maintaining a current account email and reviewing notices. The estimated 7-to-21-business-day response period in Section 17 applies, but does not extend legal deadlines.
